Feature Terms

1. Introduction and Purpose

These Feature Terms ("Feature Terms") supplement and form part of the Terms of Service or your Cloud Services Agreement with Customer.io, as applicable (the "Agreement"), between Peaberry Software, Inc. d/b/a Customer.io, including its parents, affiliates, and subsidiaries (collectively, "Customer.io," "we," "us," or "our") and you, the customer ("Customer," "you," or "your"). These Feature Terms apply to the Customer.io features and services described in Section 1.1 (Covered Features). Capitalized terms not defined in these Feature Terms will have the meanings set forth in your Sales Order Form or the Agreement. Certain defined terms used in these Feature Terms are defined in Exhibit A (Definitions).

1.1 Covered Features

These Feature Terms govern your use of the following Customer.io features and services, each as further described herein (collectively, the "Services"):

By using any of the Services, you acknowledge that you have read, understood, and agree to be bound by these Feature Terms in addition to the Agreement. If there is any conflict between these Feature Terms and the Agreement, the Agreement will control unless these Feature Terms expressly state otherwise.

2. SMS Services

The SMS Services comprise two delivery options: (a) SMS messaging sent through Customer.io's messaging infrastructure ("Customer.io-Provided SMS"); and (b) SMS messaging sent through a third-party SMS provider account that you connect to the Services (each such provider, a “Customer-Selected SMS Provider”). Use of the SMS Services is subject to this Section 2.

2.1 Compliance Requirements

You shall comply with all applicable laws, regulations, and industry guidelines related to SMS messaging, including but not limited to:

You shall not rely on express written consent obtained by a third party unless that consent specifically identified you by name as a sender of SMS messages and otherwise complies with the requirements of these Feature Terms and applicable law.

Sample Consent Language

When collecting consent via a form with a checkbox (must be unchecked by default):

"By checking this box, you agree to receive recurring automated promotional and personalized marketing text messages (e.g., cart reminders) from [Your Company Name] at the cell number used when signing up. When collecting consent via form submission:

"By submitting this form, you agree to receive recurring automated promotional and personalized marketing text messages (e.g., cart reminders) from [Your Company Name] at the cell number used when signing up. If you connect a Customer-Selected SMS Provider account to the Services, you are solely responsible for: (a) selecting, connecting, configuring, maintaining, and securing that account and all related credentials, tokens, webhooks, sender identities, and permissions; (b) all fees, charges, taxes, surcharges, carrier pass-through fees, penalties, credits, billing disputes, rate limits, throughput limits, outages, suspensions, and termination associated with that account; (c) complying with all provider terms, acceptable use rules, policies, documentation, and technical requirements; and (d) ensuring that your configuration of the SMS Services, your provider account, and any related systems correctly handles recipient lists, message content, sender identity, consent status, opt-outs, HELP and STOP requests, suppression lists, preferences, inbound message activity, delivery events, and related metadata. Customer.io is not responsible for any act or omission of your Customer-Selected SMS Provider or for any loss, delay, non-delivery, filtering, blocking, suspension, or other issue arising from your Customer-Selected SMS Provider, provider account, credentials, configuration, or provider terms.

2.3 Prohibited Content and Activities

You shall not send SMS messages that contain any SHAFT content (Sex, Hate, Alcohol, Firearms, Tobacco) or other prohibited content as detailed below and in Attachment A:

In addition to any indemnification obligations in the Agreement, you agree to defend, indemnify, and hold harmless Customer.io and its affiliates, officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, penalties, carrier or provider fees, costs, and expenses (including but not limited to attorney's fees) arising from or relating to:

In addition to any termination rights in the Agreement, Customer.io reserves the right to immediately suspend, disable, limit, or remove your access to all or part of the SMS Services, including any Customer-Selected SMS Provider connection, without notice, if:

2.8 Carrier Information

2.8.1 Carrier Fees

Message and data rates may apply to messages sent through our platform. These rates are determined by the recipient's wireless carrier, not by Customer.io. If you use a Customer-Selected SMS Provider account, you are solely responsible for all provider, aggregator, carrier, pass-through, registration, surcharge, penalty, and other fees associated with that account or your messages.

2.8.2 Supported Carriers

Our SMS Services are supported by major carriers. Delivery, deliverability, carrier approval, registration approval, message transmission, provider performance, regional routing, legal compliance, and continued provider availability cannot be guaranteed.

2.8.3 Carrier Requirements

Wireless carriers, aggregators, and SMS providers (the “Mobile Carriers”) may impose additional requirements or restrictions on messages sent through our platform, including acceptable use rules, rate limits, registration requirements, content restrictions, routing restrictions, sender identity requirements, and documentation requirements. Customer.io will make reasonable efforts to inform you of any suchcarrier Mobile Carrier requirements that Customer.io receives and determines are relevant to your use of the SMS Services, but you remain responsible for complying with all requirements that apply to your messages and your Customer-Selected SMS Provider account.

Attachment A: Forbidden Use Cases

Forbidden Use Cases

Certain types of messages are not allowed, and we take these restrictions seriously to maintain a safe and reliable messaging environment for all users. It is essential to refrain from engaging in the following activities listed in the table below. Please note that these forbidden use cases are not only related to the content of the message but the business type itself.

Additional Restrictions

Even if your specific use case is not listed as prohibited, certain message content may still be subject to restrictions. For instance, the use of shared or free public URL shorteners is not permitted and will lead to filtering. Ensure that when using a shortened URL it is company branded.

High-risk financial services

"Third-party" means originating from any party other than the one which will service the loan. Examples of third-party loans could include: auto, mortgage, personal, etc. First party loan content is acceptable if it is not promotional messaging, unless it is on an approved Short Code. Businesses that solely operate in stocks, investing, or cryptocurrency are only permitted to send SMS traffic that is 2FA and/or transactional messaging. If there is a mixed use case where that is a partial aspect of the business it may be approved based on the other use case content

Third-party lead generation services and marketing

Any third-party use cases are strictly forbidden. Consent must be obtained directly from end-users.

Political use case customers sending SMS messages are not able to use voter registration databases to collect consent and outreach end-users.

Any business with a terms of service or privacy policy that mentions sharing or selling consumer data/opt-in information is considered noncompliant.

Debt collection or forgiveness

"Third-party" means originating from any party other than the one who is owed the debt. For example, a hospital could send messages regarding bills for its own patients, assuming they provided opt-in to receive that messaging.

While third party debt collection is not permitted, a debt collection business that has direct consent from end-users to send related content may do so.

Debt consolidation, debt reduction and credit repair programs are prohibited regardless if there is first-party consent.

“Get rich quick” schemes

Use cases in this category pertain to minimal effort for maximum and/or guaranteed financial gains. These categories in the telecoms industry produce high consumer complaints and are not permissible on carrier routes.

Illegal substances/articles

Cannabis, CBD, Kratom, or drug paraphernalia product businesses are prohibited from utilizing SMS/MMS messaging on Customer.io in the US and Canada, regardless of content. These restrictions apply regardless of the federal or state legality. All use cases for these are disallowed from sending SMS whether it contains cannabis content or not, even for 2FA purposes it is not permissible for such entities.

Prescription drugs

Drugs that require a prescription

Offers for drugs that cannot be sold over-the-counter in the US/Canada are forbidden regardless if the business is a licensed professional.

Gambling

Gambling traffic is prohibited in the US and Canada on all number types (Toll Free, Short Code, Long Code).

Bingo related messages are allowed on an approved Short Code. Community or local based Bingo related messaging are also permissible on carrier networks.

"S.H.A.F.T." use cases and electronic smoking devices

Alcohol traffic is allowed on Toll Free, Short Code, and Long Code in the US, as long as proper age gating procedures are in place. Age gating means that website users must input their date of birth. It cannot be a yes or no question.

Firearms, Vape, and E-cigarettes are not allowed on Short Code, Toll Free, or Long Code regardless of age gating. Tobacco is allowed on Short Code with proper age gating procedures in place, but isn’t allowed on Long Code or Toll Free.

Gun advocacy groups/messaging does not fall under Firearms.

All age-gated content into Canada must be blocked across Toll Free, Short Code, and Long Code. The only way to send age-gated traffic into Canada (even with proper age-gating) is to receive a special carrier exemption. Allowed age gated content in Canada include: pocket knives, lighters, and non-alcoholic beverages

3. Geofencing and Location-based Features

3.1 Scope

The CIO Platform may include features that allow you to configure geofences for your applications or services, process geofence entry and exit events for End Users, and process related customer-enabled location updates ("Geofencing Features"). Geofencing Features are provided for use only as configured by you and as part of the Services.

3.2 Customer Responsibilities

You are solely responsible for: (a) providing all notices and obtaining, documenting, and maintaining all permissions, and consents required for your use of Geofencing Features, including any OS-level location permission and any in-app or other end-user notice required by applicable law; (b) configuring geofences only for lawful, appropriate, and non-sensitive use cases; (c) ensuring that your geofences, campaigns, messages, audiences, segments, and downstream uses comply with applicable privacy, consumer protection, location data, telecommunications, marketing, health privacy, children’s privacy, anti-discrimination, and other sector-specific laws; and (d) maintaining records sufficient to demonstrate your compliance with this Section.

3.3 Restricted Uses

You shall not use Geofencing Features to: (a) infer, target, segment, or profile End Users based on sensitive personal information, sensitive traits, or sensitive locations; (b) create geofences around health care facilities, reproductive or sexual health facilities, mental health facilities, places of worship, schools, government facilities, law enforcement facilities, shelters, or any other location where an End User’s presence could reveal sensitive personal information or traits; (c) infer health status, reproductive or sexual health information, religious beliefs, immigration status, criminal justice status, precise movements, or other sensitive attributes; (d) build, sell, share, or otherwise make available location-derived audiences or segments; (e) track End Users without all required notices, permissions, and consents; (f) use Geofencing Features for law enforcement, credit, employment, housing, insurance eligibility, emergency, public safety, or similarly high-risk purposes; or (g) violate applicable privacy, consumer protection, health privacy, location data, or other laws.

3.4 Data Processing

Customer.io processes Geofencing Features data as a service provider or data processor on your behalf and at your direction to provide the Services. Geofencing Features data is location-derived data and may constitute personal data, personal information, sensitive data, or precise location data depending on the context of your use and applicable law.

3.5 Suspension

Customer.io may immediately suspend, disable, limit, or remove your access to Geofencing Features if Customer.io reasonably believes that your use of Geofencing Features may violate this Section, applicable law, third-party rights, or Customer.io policies, or at Customer.io’s sole discretion.

4. AI Features and Credits

The Customer.io platform services ("CIO Platform") may include features that use artificial intelligence, machine learning, or other algorithmic processes ("AI Features"). AI Features may generate, suggest, or assist in creating content (collectively, "Generated Content"). You acknowledge that portions of the CIO Platform may incorporate AI or automated processes without express designation.

Customer.io makes no representation or warranty regarding the accuracy, reliability, fitness, or non-infringement of any Generated Content. As between Customer.io and you, you own all right, title, and interest in Generated Content created through your use of the AI Features; provided, however, that Customer.io retains all rights in the underlying AI Features, models, and Services used to produce such content.

Your Responsibilities: You are solely responsible for reviewing, validating, and approving all Generated Content before use, regardless of whether such content is identified as AI-generated. You are responsible for all content sent, published, or distributed using the CIO Platform, including any Generated Content. Customer.io disclaims all liability arising from your reliance on or use of Generated Content.

AI Credits: AI credits may be purchased through the CIO Platform at the prices posted at the time of purchase on the CIO Platform, or at the prices set forth via an applicable Sales Order Form. AI credits are one-time purchases and do not renew or reoccur unless expressly agreed as documented via an applicable Sales Order Form. AI credits are non-refundable, non-transferable, and may not be exchanged for cash or applied to other fees. AI credits apply only to the base fees for AI Feature usage and do not offset any applicable taxes, duties, or surcharges.

Credit Consumption: Purchased AI credits are consumed on a per-use basis as determined by the applicable AI Feature. The number of credits consumed per action run may vary by feature, model, and output length, including based on the number of users who initiate or complete the action run.

Credit Expiration: Unless otherwise specified at checkout or in other written terms agreed to at the time of purchase, unused AI credits do not expire. If you terminate this Agreement, any applicable Sales Order Form, or the applicable services for any reason, all unused AI credits are immediately forfeited, and no refund, credit, extension, or other compensation will be provided.

Pricing and Conversion Rate Changes: Customer.io may modify AI credit pricing, expiration periods, and the AI credit consumption rate at its discretion. Any changes will apply prospectively to AI Feature usage after the effective date of the change, regardless of when the credits were purchased. If you have questions about current pricing, conversion rates, or AI credit usage, please contact Customer.io Support.

Availability: AI Features may be modified, suspended, or discontinued at any time. Availability, latency, and throughput of AI Features may vary and are subject to third-party dependencies outside Customer.io's control. AI Features may rely on third-party AI providers, and your use of AI Features is subject to any applicable usage policies or restrictions imposed by such providers, as communicated by Customer.io from time to time. Customer.io is not liable for any changes, limitations, or disruptions caused by third-party AI providers. Any service level commitments in this Agreement or an applicable Service Order do not apply to AI Features unless expressly stated otherwise.

Promotional Credits: Any promotional credits or discounts applied to AI Features are subject to the Promotional Credit and Discount Terms. In the event of a conflict between the Promotional Credit and Discount Terms and this section, the Promotional Credit and Discount Terms will govern with respect to the applicable promotional credit or discount. For clarity, bonus AI credits included in a Sales Order Form as part of a paid AI credit purchase are treated as purchased AI credits, and not promotional credits, unless expressly identified as promotional credits in the applicable Sales Order Form.

In addition to the protections and commitments contained in the Agreement and DPA, the following principles apply to your Data in connection with AI Features:

Suspension for AI Feature Misuse: Customer.io may suspend, limit, or disable your access to AI Features, reject or block prompts or outputs, or forfeit unused AI credits without refund if Customer.io reasonably believes that your use of AI Features violates this Agreement, Feature Terms, the Acceptable Use Policy, any applicable third-party AI provider policy, or applicable law, or creates risk to Customer.io, the CIO Platform, other customers, or third parties as determined solely by Customer.io.

5. Betas and Previews

5.1

This Section describes the additional terms and conditions under which you may access and use certain features, technologies, and services made available to you by Customer.io that are not yet generally available, including, but not limited to, any products, services, or features labeled "beta," "preview," "pre-release," or "experimental" (each, a "Beta Service").

5.2

You must comply with all terms related to any Beta Service as provided to you by Customer.io. Customer.io may add or modify terms, including lowering or raising any usage limits, related to access to or use of any Beta Service at any time. Customer.io may add, modify, or remove functionality, features, documentation, or other related aspects of any Beta Service at any time, and these aspects may be different from any generally available version of the applicable Beta Service. Service Level Agreements do not apply to Beta Services.

5.3

You may provide Customer.io with information relating to your access, use, testing, or evaluation of Beta Services, including observations or information regarding the performance, features, and functionality of Beta Services ("Test Observations"). Customer.io will own and may use and evaluate all Test Observations for its own purposes. You will not use any Test Observations except for your internal evaluation purposes of any Beta Service.

5.4

Customer.io may suspend or terminate your access to or use of any Beta Service at any time. Your access to and use of each Beta Service will automatically terminate upon the release of a generally available version of the applicable Beta Service or upon notice of termination by Customer.io. Unless otherwise communicated to you, any Beta Service made available to you is provided for evaluation purposes and should not be used for processing sensitive data. Notwithstanding anything to the contrary in the Agreement, after suspension or termination of your access to or use of any Beta Service for any reason:

Test Observations, suggestions concerning a Beta Service, and any other information about or involving (including the existence of) any Beta Service are considered Customer.io Confidential Information.

5.6

WITHOUT LIMITING ANY DISCLAIMERS IN THE AGREEMENT OR THESE FEATURE TERMS, BETA SERVICES ARE NOT READY FOR GENERAL COMMERCIAL RELEASE AND MAY CONTAIN BUGS, ERRORS, DEFECTS, OR HARMFUL COMPONENTS. ACCORDINGLY, AND NOTWITHSTANDING ANYTHING TO THE CONTRARY IN THE AGREEMENT OR THESE FEATURE TERMS, [CUSTOMER.IO (http://customer.io/)] IS PROVIDING BETA SERVICES TO YOU "AS IS." [CUSTOMER.IO (http://customer.io/)] AND ITS AFFILIATES AND LICENSORS MAKE NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE REGARDING BETA SERVICES, INCLUDING ANY WARRANTY THAT THE BETA SERVICES WILL BECOME GENERALLY AVAILABLE, BE UNINTERRUPTED, ERROR FREE, OR FREE OF HARMFUL COMPONENTS, OR THAT ANY CONTENT, INCLUDING YOUR CONTENT, WILL BE SECURE OR NOT OTHERWISE LOST OR DAMAGED. EXCEPT TO THE EXTENT PROHIBITED BY LAW, [CUSTOMER.IO (http://customer.io/)] AND ITS AFFILIATES AND LICENSORS DISCLAIM ALL WARRANTIES, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, SATISFACTORY QUALITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR QUIET ENJOYMENT, AND ANY WARRANTIES ARISING OUT OF ANY COURSE OF DEALING OR USAGE OF TRADE. [CUSTOMER.IO (http://customer.io/)]'S AND ITS AFFILIATES' AND LICENSORS' AGGREGATE LIABILITY FOR ANY BETA SERVICES WILL BE LIMITED TO THE AMOUNT YOU ACTUALLY PAY [CUSTOMER.IO (http://customer.io/)] UNDER THIS AGREEMENT FOR THE BETA SERVICES THAT GAVE RISE TO THE CLAIM DURING THE 12 MONTHS PRECEDING THE CLAIM.

6. General Provisions

6.1 Modifications

Customer.io reserves the right to modify these Feature Terms at any time by posting a revised version on its website or by otherwise notifying you. Your continued use of the Services after such notification constitutes your acceptance of the modified Feature Terms.

6.2 No Legal Advice

Nothing in these Feature Terms constitutes legal advice. You are responsible for consulting with your own legal counsel to ensure compliance with all applicable laws, regulations, and industry guidelines.

6.3 Severability

If any provision of these Feature Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Feature Terms shall otherwise remain in full force and effect.

6.4 Governing Law

These Feature Terms will be governed by and construed in accordance with the laws of the State of Oregon, excluding its conflicts of law rules, and the United States of America. Any dispute arising from or relating to the subject matter of these Feature Terms will be finally settled by the state and federal courts located in Multnomah County, Oregon. Use of the CIO Platform is not authorized in any jurisdiction that does not give effect to all provisions of these Feature Terms, including without limitation, this section.
